Scope

This Vendor Agreement governs the relationship between Zwaap Ex and vendors who list and sell products on the platform. By completing vendor onboarding and listing products, vendors agree to comply with these terms, policies, and applicable platform guidelines.

Vendor Responsibilities

Vendors agree to:

• List only authentic, organic, eco-friendly, and legally compliant products.
• Ensure all product descriptions, images, pricing, and stock information are accurate and up to date.
• Fulfil orders within the committed service-level timelines (SLAs).
• Follow prescribed packaging, labelling, and shipping standards to prevent damage in transit.

Commission Structure

Commission rates vary based on product category and other commercial factors. A detailed commission rate card will be shared during vendor onboarding.

Zwaap Ex reserves the right to revise commission rates with prior notice to vendors.

Payments & Settlements

Vendor payouts are processed as per the scheduled settlement cycles communicated during onboarding.

Zwaap Ex may withhold, delay, or adjust settlements in cases involving chargebacks, customer refunds, returns, penalties, or violations of platform policies.

Returns & Refunds

Vendors are required to accept valid return requests in accordance with Zwaap Ex return policies.

In disputed or exceptional cases, Zwaap Ex may process refunds directly to customers on behalf of vendors and adjust vendor settlements accordingly.

Penalties & Delisting

Vendors may be subject to penalties for issues including, but not limited to:

• Late dispatch or failure to meet SLAs.
• High cancellation or return rates.
• Sale of counterfeit, prohibited, or misrepresented products.
• Repeated violations of platform policies.

Serious or repeated breaches may result in temporary suspension or permanent delisting from the platform.

Compliance & Audit

Vendors must provide relevant documentation, certifications, or records when requested to verify product authenticity, quality, and legal compliance.

Zwaap Ex reserves the right to conduct audits or inspections, directly or through third parties, to ensure adherence to platform standards.
